ETHDenver — Contributor Proposal Agreement
Last Updated:
This is the final step in submitting your contributor proposal (“Proposal”) for participation in the ETHDenver event (the “Event”). After you click Submit Proposal, you will not be able to edit your Proposal. Review carefully before submitting.
As the contributor organizer, you are referred to as “I,” “me,” “my,” or “Applicant.” ETHDenver, SporkDAO, and their affiliates, partners, and licensors are referred to collectively as “ETHDenver.”
1) Contributor’s Representations and Warranties
- Originality & Rights. The Proposal contains original ideas, and I am authorized to use all materials included. I have obtained all necessary rights and will respect third-party IP.
- No Infringement. To the best of my knowledge and belief, neither the Proposal nor its materials infringe any third-party rights (including copyright, patent, trademark, trade secret, publicity, privacy) or violate any law.
- No Disputes. To the best of my knowledge and belief, the Proposal is not the subject of any actual or threatened litigation or claim.
- Content Standards. The Proposal will not be obscene, offensive, libelous, pornographic, threatening, abusive, or otherwise objectionable; it will not contain illegal content or encourage criminal activity.
- No Conflicting Obligations. No contractual or other obligations (including those from my or any contributor’s employment) prevent me from claiming IP rights in materials I created and incorporated into the Proposal.
- Non-Confidential Submission. I submit the Proposal and included materials on a non-confidential basis. ETHDenver has no obligation to treat them as confidential, except where disclosure is necessary for the Event or permitted by me. I grant ETHDenver permission to make submitted materials publicly available for Event operations, selection, programming, and promotion.
- Independent Development. I acknowledge ETHDenver may independently create or acquire software, techniques, ideas, products, or services similar to my Proposal or other materials I share (“Shared Materials”). My participation does not restrict ETHDenver from developing, acquiring, using, licensing, distributing, or otherwise exploiting products or services similar or identical to the Shared Materials, provided ETHDenver does not violate my IP rights.
- Primary Contact. I am the Proposal’s primary contact and will promptly notify ETHDenver of any change.
- Contributors’ Consent. Each contributor listed in the Proposal has explicitly agreed to this Agreement, and I am providing accurate contact information for each contributor.
- Acceptance & Deadlines. If selected, I will confirm acceptance promptly and meet posted deadlines and communications; otherwise the Proposal may be dropped.
- Programming Changes. ETHDenver may change the Proposal’s format or track as a condition of inclusion.
- Selection Not Guaranteed. Submission does not guarantee selection; ETHDenver has final say regarding late submissions, cancellations, and programming.
- Personal Data. I consent to ETHDenver collecting and processing personal information in this Proposal to review the application and communicate with contributors, per the Privacy Policy. Optional sponsor sharing (if offered) is voluntary and governed by terms presented at registration.
- Publicity & Recordings. I (and all listed contributors) consent to ETHDenver using, publishing, distributing, reproducing, and publicly performing content embodying our names, voices, likenesses, images, biographies, statements, and other identifying materials provided by us, or captured during participation, in connection with ETHDenver products/services, in any medium, with the right to edit without material change in substance or meaning. ETHDenver is the exclusive owner of such materials, including copyright. No monetary compensation is owed.
- Final Submission. Once submitted, the Proposal is final and cannot be edited or modified.
2) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ETHDENVER, ITS AFFILIATES, PARTNERS, LICENSORS, SERVICE PROVIDERS, AND THEIR OFFICERS, DIRECTORS, AGENTS, EMPLOYEES, AND REPRESENTATIVES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE EVENT OR THIS AGREEMENT (HOWEVER ARISING, INCLUDING NEGLIGENCE). SOME JURISDICTIONS DO NOT ALLOW SUCH LIMITATIONS; WHERE PROHIBITED, THEY DO NOT APPLY.
If you have a dispute with any participant or third party, you release ETHDenver and the foregoing parties from claims, demands, and damages of every kind arising out of or in any way connected with such disputes. Any claim against ETHDenver arising from the Event or this Agreement must be filed within six (6) months after it arose or it is permanently barred.
3) Release and Indemnification
By entering a Proposal and participating in the Event, you (for yourself and your heirs, executors, and administrators):
- Release. Release and hold harmless ETHDenver and its affiliates, partners, licensors, service providers, and their officers, directors, and employees (“Released Parties”) from any claims, liability, damage, illness, injury, or death that may occur, directly or indirectly, whether caused by negligence or not, arising from your participation, your Proposal, your acceptance or use of any prize (including travel), your legal violations, third-party rights violations, or failure to comply with this Agreement.
- Indemnify. Indemnify the Released Parties from all liabilities and costs (including reasonable attorneys’ fees) arising from your participation, your Proposal, or your breach of this Agreement.
- Be Bound. Agree to be bound by this Agreement, the SporkDAO Code of Conduct, the ETHDenver Terms of Service, and the Privacy Policy, and waive any claim of ambiguity herein or in the Event materials. ETHDenver’s decisions are final.
4) Not an Offer or Contract of Employment
Participation, prizes, and this Agreement do not create employment or any expectation of compensation or benefits beyond what is expressly stated. No confidential, fiduciary, agency, partnership, joint venture, or implied-in-fact contract arises from participation.
5) Additional Terms
- Compliance & Enforcement. The Event is subject to applicable laws. ETHDenver may permanently disqualify anyone who intentionally violates this Agreement.
- Security & Integrity. Any attempt to damage or disrupt the Event or its operations is unlawful and subject to legal action. ETHDenver may seek damages to the fullest extent permitted by law.
- Force Majeure. Released Parties are not liable for failure or delay due to events beyond reasonable control (including acts of God, fire, flood, war, riot, terrorism, pandemic/epidemic, government actions, labor disputes, or internet/telecom outages).
- Systems & Errors. Released Parties are not responsible for telecom, network, electronic, technical, or computer failures; inaccurate data transcription; errors in marketing or this Agreement; human/electronic error; or Proposals that are stolen, misdirected, garbled, delayed, lost, late, damaged, or returned.
- Program Changes. ETHDenver may cancel, modify, or suspend the Event or any element (including this Agreement) for any reason, with reasonable prior notice where feasible.
- Conduct. ETHDenver may prohibit participation by any person who disregards this Agreement; intends to annoy, abuse, threaten, or harass others; or behaves in a disruptive, unsafe, or inappropriate manner (as determined in ETHDenver’s sole discretion).
6) Dispute Resolution
This Agreement is governed by Colorado law (conflict rules excluded). The forum and venue for any permitted court action is Denver, Colorado.
Arbitration Alignment. If you have accepted the ETHDenver Terms of Service, then the Dispute Resolution & Arbitration section of those Terms (JAMS Consumer Rules; FAA; individual arbitration; no class actions; 30-day opt-out) applies to disputes under this Agreement as well.
No party is entitled to recover attorneys’ fees or costs unless a claim is determined frivolous, in which case the party bringing the frivolous claim must pay the other party’s reasonable fees and costs.
